These Terms of Service ("Terms") govern your access to and use of the website at www.targetbird.net and any services provided by TargetBird Agency ("TargetBird", "we", "us"). By using our website or engaging us for services, you agree to be bound by these Terms.

The short version: a separate signed proposal or Statement of Work will always govern the specifics of any paid engagement — these Terms set the baseline rules for our website and our overall working relationship.

Section 01

Agreement

By accessing this website, requesting a proposal, or accepting any deliverable from us, you agree to these Terms. If you do not agree, please do not use our website or services. If you're entering this agreement on behalf of a company or organisation, you represent that you have the authority to bind that entity.

These Terms work together with any Statement of Work (SOW), Master Services Agreement (MSA), or proposal we sign with you. Where a signed SOW or MSA contradicts these Terms, the signed document prevails.

Section 02

Services we provide

TargetBird offers integrated creative and performance marketing services, including but not limited to:

  • Brand strategy, identity design, and visual systems
  • Performance marketing across Meta, Google, TikTok and programmatic platforms
  • Web design, development, and e-commerce builds
  • Content production — video, photography, motion
  • SEO, content strategy, and lifecycle marketing
  • Media buying, planning, and campaign management

Specific deliverables, timelines, and acceptance criteria for each engagement are defined in the signed proposal or SOW.

Section 03

Engagement & scope

Every paid engagement begins with a written proposal or SOW outlining:

  • Deliverables and acceptance criteria
  • Timeline and key milestones
  • Fees, payment schedule, and currency
  • Number of rounds of revisions included
  • Third-party costs (media spend, software, stock assets) handled separately

Changes outside the agreed scope ("scope creep") will be quoted as a separate Change Order before work proceeds. We do not absorb out-of-scope work without written agreement.

Section 04

Fees & payment

Pricing & currency

Fees are quoted in EGP, AED, or USD depending on the engagement and the client's location. All quoted prices are exclusive of applicable VAT, withholding tax, or other government levies, which are the client's responsibility.

Payment terms

  • Project engagements: typically 50% on signing, 50% on delivery, unless otherwise agreed
  • Retainers: invoiced monthly in advance, due within 7 days of invoice date
  • Media spend: paid by the client directly to the platform, or pre-funded to TargetBird before campaign launch
  • Late payments: subject to a 2% monthly late fee and may result in paused work until cleared

Invoices are sent electronically. We accept bank transfer, and where available, card and digital wallet payments.

Section 05

Deliverables & intellectual property

Ownership of final deliverables

Upon full payment, the client owns the final approved deliverables (logos, designs, copy, video, code) produced specifically for the engagement. We grant the client a perpetual, worldwide licence to use them for the agreed purposes.

What TargetBird retains

  • Pre-existing tools, frameworks, processes, and proprietary methodologies
  • Unselected concepts, drafts, and working files (we may reuse these elsewhere)
  • The right to display the work in our portfolio, case studies, and marketing materials — unless the client has signed a separate NDA prohibiting this

Third-party assets

Stock photography, fonts, plugins, music and similar assets are licensed under the terms of their respective providers. Where required, license costs are passed to the client.

Section 06

Client responsibilities

To deliver our best work, we need the client to:

  • Provide accurate brand information, brief inputs, and access to required platforms in a timely manner
  • Designate a single primary point of contact authorised to approve work
  • Respond to requests for feedback or approval within agreed timeframes (delays may shift the timeline)
  • Pay invoices on time according to the agreed schedule
  • Ensure that any materials provided to us (logos, content, data) do not infringe third-party rights

Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement — including business plans, financial data, strategies, customer lists, and creative work in progress. This obligation survives the end of the engagement indefinitely.

For sensitive engagements, we're happy to sign a separate Non-Disclosure Agreement (NDA) before work begins.

Section 08

Warranties & disclaimers

TargetBird warrants that our work will be performed in a professional manner consistent with industry standards. We do not, however, guarantee specific outcomes — including but not limited to:

  • Specific search engine rankings or organic traffic levels
  • Specific advertising performance metrics (CPL, ROAS, conversion rates)
  • Sales results or revenue figures
  • Continued availability of third-party platforms or their features

Performance depends on many factors outside our control — market conditions, platform algorithm changes, competitor activity, product-market fit, and client execution among them. Our website and services are provided "as is" without warranties of any kind, express or implied.

Section 09

Limitation of liability

To the maximum extent permitted by law, TargetBird's total cumulative liability under any engagement is limited to the fees actually paid by the client to TargetBird for the specific engagement giving rise to the claim, in the three months preceding the claim.

In no event will TargetBird be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity — even if we have been advised of the possibility of such damages.

Section 10

Termination

Either party may terminate an engagement:

  • For convenience — with 30 days written notice (retainers) or upon completion of the current project phase (project work)
  • For cause — immediately, if the other party materially breaches these Terms or the SOW and fails to cure within 14 days of written notice
  • For non-payment — immediately, if invoices remain unpaid more than 30 days past due

On termination, the client will pay for all work completed up to the termination date, plus any non-cancellable third-party commitments we entered into on the client's behalf.

Section 11

Governing law & disputes

For engagements with TargetBird's Cairo entity, these Terms are governed by the laws of the Arab Republic of Egypt, with disputes subject to the exclusive jurisdiction of the Cairo courts.

For engagements with TargetBird's Abu Dhabi entity, these Terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Abu Dhabi, with disputes subject to the courts of Abu Dhabi.

Both parties agree to attempt good-faith resolution of any dispute through direct discussion before initiating formal proceedings.
